Terms of Use
Last updated: May 2025
1. Acceptance
By downloading, installing, or using Noeth (the "Software") you agree to be bound by these Terms of Use. If you do not agree, do not use the Software. These terms apply to all versions of Noeth and to this website.
2. What Noeth Is
Noeth is a desktop application that helps you prepare for and perform in technical interviews. It captures on-screen content at your direction, sends it to an AI model of your choice via your own API key, and returns structured analysis, solutions, code, flowcharts, and explanations directly on your screen.
Noeth does not record or transmit audio, control your computer, store your interview content on our servers, or interact with any interview platform on your behalf.
3. Licence Grant
Upon completing your purchase we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use Noeth on devices you own or control, for your own interview preparation purposes.
This licence covers the version of Noeth current at the time of your purchase. Access to future major versions may require a separate licence and will be communicated clearly before taking effect.
You may not sublicense, sell, rent, lend, or otherwise transfer the Software or your licence to any third party.
4. Bring Your Own API Key
Noeth requires you to supply API credentials from a supported AI provider (Anthropic, OpenAI, Google Gemini, or Ollama). Your API key is stored locally on your device and is never transmitted to Noeth's servers.
All costs, usage limits, rate limits, and terms imposed by your chosen AI provider are entirely your responsibility. We are not liable for any charges, overages, service interruptions, or policy changes made by third-party AI providers.
5. Prohibited Uses
You may not:
- Reverse engineer, decompile, or disassemble the Software
- Modify, adapt, or create derivative works based on the Software
- Use the Software to build or assist in building a competing product or service
- Access or use the Software if you are a competitor — doing so requires our prior written consent
- Resell, redistribute, or sublicence the Software or your access to it
- Use the Software in any way that violates applicable law or regulation
- Attempt to circumvent any licensing or access controls
- Use the Software to process or expose other people's confidential information without their consent
6. Recording Laws & Interview Platform Compliance
Noeth captures on-screen content during use. Depending on your jurisdiction and the interview format, this activity may be subject to laws governing the recording or monitoring of communications.
You are solely responsible for ensuring your use of Noeth complies with all applicable recording laws, wiretapping statutes, and privacy regulations in your jurisdiction and the jurisdiction of any other participant in your interview.
Additionally, many employers and interview platforms (such as HireVue, Codility, CoderPad, Zoom, and others) have their own terms of service that may prohibit the use of third-party assistance tools during assessments. You are solely responsible for understanding and complying with those terms. We make no representation that using Noeth is permitted under any third-party platform's rules, and we accept no liability for any consequences arising from a violation of those rules.
7. AI Output Disclaimer
All content generated by Noeth is produced by third-party AI models and provided to you as-is. We make no representations or warranties regarding the accuracy, completeness, correctness, reliability, or fitness for purpose of any AI-generated output.
AI outputs may contain errors, omissions, outdated information, or content that is inappropriate for a given context. You assume all risk associated with relying on AI-generated suggestions, code, or explanations. Noeth is a preparation and assistance tool — it does not guarantee any interview outcome, job offer, or professional result.
8. Screen Capture & Detection
Noeth operates as an overlay application on your screen. Some interview platforms use screen-sharing or proctoring software that may detect the presence of additional applications or windows.
Detection of Noeth by any screen-sharing, proctoring, or monitoring tool is not a defect in the Software and does not constitute grounds for a refund or any claim against us. You use Noeth in monitored environments entirely at your own risk.
9. Intellectual Property
All rights, title, and interest in and to Noeth — including the application, website, design, code, trademarks, and all related materials — are and remain the exclusive property of Noeth and its licensors. Nothing in these terms transfers any ownership rights to you.
You retain ownership of any content you create using the Software. By using Noeth you do not grant us any rights to your content, and we do not claim any ownership over it.
10. Payment & Refunds
Noeth is sold as a one-time lifetime purchase — there are no recurring fees or subscriptions. All sales are final. Please review our Refund Policy before purchasing.
Payments are processed by Stripe. Your financial data is handled exclusively by Stripe and is never stored by us.
11. Analytics
This website uses PostHog to collect anonymous usage analytics (page views, navigation patterns, and similar). No personally identifiable information is collected through analytics. See our Cookie Policy for details.
12. Termination
We may suspend or terminate your licence immediately if you breach any of these terms. Upon termination you must cease all use of the Software and delete all copies in your possession.
Sections 6, 7, 8, 9, 13, and 14 survive termination.
13. Disclaimer of Warranties
The Software and this website are provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free, uninterrupted, or compatible with any specific interview platform or operating system configuration.
14. Limitation of Liability
To the fullest extent permitted by law, Noeth and its owners shall not be liable for any indirect, incidental, consequential, special, or punitive damages — including loss of data, loss of revenue, or failure to obtain employment — arising out of or related to your use of the Software, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising under these terms shall not exceed the amount you paid for the Software.
15. Changes to These Terms
We may update these terms from time to time. When we do, we will revise the date at the top of this page. Continued use of the Software after an update constitutes acceptance of the revised terms. If a change materially affects your rights, we will make reasonable efforts to notify you.
